Introduction
United Stands of Lemonade is a large-scale experiment in decentralized governance. Our vision is to sustainably fund event organizers, creators & brands that are building community at the intersection of culture & crypto — onchain.
The Lemonade Foundation has developed this working Constitution enshrines governing provisions and principles with the intent to build an inclusive digital nation with a vibrant inclusive platform with good vibes. With this intent, it lays the foundation for a fair, democratic model of decentralized governance that balances short-term execution and long-term economic sustainability.

This is a “Working Constitution”. It is unlikely that we will get everything right in the first attempt. As such, with complete humility that it may not account for future challenges, and that this Working Constitution is:
An iterative experiment. In its lifetime, the Citizens, token holders and Foundation will collectively learn and iterate from successes and failures. These experiments will help with understanding the balance and power dynamics within its ecosystem, and help it evolve into a framework that secures the vision of an inclusive sustainable ecosystem of Lemonade Stands governing itself collectively
A transitory document. The Working Constitution will remain in effect until the depletion of the Ecosystem Fund, or four years from the date of its adoption- whichever is sooner. Post which, the authority shall be ceded to a permanent Bedrock Constitution that is an amalgamation of learnings from successes & failures gained from experiments conducted by its citizens, token holders and the Lemonade Foundation.

Distributed ownership. The governing structure will account for separation of power taking into consideration short-term incentives and long-term vision. It will do so by adopting a bicameral governance system that checks and balances the power held by the United Stand of Lemonade Citizens, $LEMON Token Holders and the Lemonade Foundation. This is to avoid misaligned incentives or consolidation of power within the ecosystem.

The Lemonade Foundation to act as a steward for the United Stands of Lemonade, the Executive Branch and its early governance model. The Lemonade Foundation is a Marshall Islands not-for-profit organization responsible for guiding the growth and development of the United Stands of Lemonade. Acting through its Board of Directors, the Foundation may:
Facilitate the administration of Lemonade’s Governance
Allocate treasury assets to fund public goods, incentivize participants in the Lemonade ecosystem
Amend the Working Constitution; and
Take other actions that it deems necessary or conducive as the steward for the ecosystem
The Foundation will undertake all these responsibilities in a manner aligned with the vision and mission of United Stands of Lemonade, and with a view towards increasingly decentralizing its role over time.

Rights, responsibilities of Lemonade Citizens & $LEMON Token Holders. Subject to the founding legal documents of the Lemonade Foundation and the procedures outlined in the its Operating Manual:
Future United Stands of Lemonade Citizens may:
Allocate Retroactive Rewards; and
Exercise such additional rights as are provided to its Citizens over time.
$LEMON Holders may:
Remove a director of the Lemonade Foundation.
Veto changes to the founding documents of the Lemonade Foundation, if those changes would reduce the rights of $LEMON Holders in a material way; and
Veto changes to Legislature and Executive $LEMON token budgets allocated for Retroactive Rewards, Platform rewards & Ecosystem Fund disbursement

Interpretation. In interpreting the scope, authority, and meaning of the provisions of this Working Constitution, the following guiding principles apply:
Governance minimization. Minimal governance is at the heart of the United Stands of Lemonade. When multiple proposals achieve a similar outcome, the proposal with the least overhead should be preferred. We strive to boil down governance to its essence and to avoid introducing regulation where freedom can achieve the same result. We believe this is key to creating the fertile soil for permissionless innovation.
Anti-plutocracy. Influence in governance must extend beyond financial stake to value humanhood and intelligent life. The centralizing force of plutocratic token governance is a risk to the health and effectiveness of the United Stands of Lemonade, and must be balanced with Citizenship.
online = onchain. The primary function of the United Stands of Lemonade is to build an inclusive onchain economy through a platform and products that provide a magical user experience to event organizers, creators & community builders. We believe this to be the most important target in the pursuit of bringing the next billion onchain to experience the benefit of permissionless commerce and financial freedom. Our economy is an expression of our collective needs, wants, and ethics. We harm ourselves when we do not adequately, fairly, and consistently support in building a healthy environme that empowers the middle-class of the creator economy.

#MakeLemonade: Curve balls in the form of mistakes, unforeseen circumstances, unplanned outcomes, bad actors and negative market conditions are inevitable. As life will deal these lemons (not the token), the ecosystem will turn the negatives into positives and make lemonade!
